Bluedio Distribution Agreement

-How to be Exclusive Agent and Authorized Distributor of Bluedio brand?

1, Overall requirements:

1), Distribution amount standard:

Worldwide market&territory division(by country):	Order amount standard(monthly):	Note:
A, Unites States, Canada, UK, Western Europe, Northern Europe, Japan, Australia, Saudi Arabia, United Arab Emirates	No less than USD$30000	If population of the country is over 0.1 billion, order amount standard increases by 100%. If population of the country is below 10 million, order amount standard decreases by 100%. First order have to meet monthly order amount standard.
B, South America, Central Europe, Eastern Europe, Northeast Asia	No less than USD$20000
C, Southeast Asia, Africa countries and other	No less than USD$15000

2) Price control:

Have to resell products in accordance with supplier’s price control strategy.

2, Exclusive Agency Agreements:

1) Agency type: Exclusive(there is only one Agent inside a country)

(Note: now Bluedio brand already signed exclusive agency agreements in Canada, Southeast Asia countries: Malaysia, Thailand, Philippines, Vietnam, Indonesia and Western Europe countries: Poland, and soon Germany…, Middle East country: Saudi Arabia, please be quick to contact us if you are interested in and capable of being exclusive agent of our brand in your country)

2) Allocated products: Bluedio A, U, Vinyl Plus, AS( and other models coming soon, over 150% margin)

3) Obligations:

First and monthly order amount reach the standard of the market division.
Responsible for promoting and maintaining Bluedio brand and product image, and execute price strategy.
Not allowed to sell product to outside of the allocated territory without supplier’s permission.
Not allowed to sell products of other competing brand without supplier’s permission.
Not allowed to require supplier to stop its sales activity on official internet channels.
Not allowed to represent supplier to sign contract with other buyers.
Not allowed to sell counterfeit products.

4) Rights:

Rights of applying for advertising brochure, free sample or other reasonable documents for the purpose of brand promotion activity.
Rights of getting most competitive agency prices for the allocated products.
Rights of getting agency-standard aftersales customer service.
(The agent could apply for return and replacement of low-sales product.)
Rights of applying for advertising fee for promotion activities required by supplier.
Rights of getting sales award.

5) Termination：

Once Agent can’t reach to the required order amount standard after 2 consecutive months, this Agreement will be terminated automatically. (Note: 3-6 months testing period is allowed based on actual situation of each country if agent can not meet order amount standard from the beginning)

3, Authorized Distribution Agreements:

1) Distribution type: Non-exclusive(there are several distributors inside a country)

2) Allocated products: Bluedio BS-3, AS-BT ( and other models coming soon)

3) Obligations:

First and monthly order amount reach the standard of the market division.
Responsible for promoting and maintaining Bluedio brand and product image, and execute price strategy.
Not allowed to sell product to outside of the allocated territory without supplier’s permission.
Not allowed to require supplier to stop its sales activity on official internet channels.
Not allowed to represent supplier to sign contract with other buyers.
Not allowed to sell counterfeit products.

4) Rights:

Rights of applying for advertising brochure, free sample or other reasonable documents for the purpose of brand promotion activity.
Rights of getting most competitive distributor prices for the allocated products.
Rights of getting distributor-standard aftersales customer service.
Rights of applying for advertsing fee for promotion activities required by supplier.
Rights of getting sales award.

5) Termination：

Once the distributor can’t reach to the required order amount standard after 2 consecutive months, this Agreement will be terminated automatically.

4, What companies are we looking for?

1) Recognize Bluedio brand and willing to promote&market the brand.

2) Own great nationwide distribution capability and channel or have stable partnership with distributors, wholesalers, retail chain stores, eCommerce websites, etc. in the country.

3) Have experience in agency or distribution of an electronics brand (Optional).
